API Terms of Service

These Skydio API Terms of Service (“API Terms”) are a contract between you and Skydio, Inc. (“Skydio”) and govern your access to and use of Skydio’s APIs. If you use the APIs on behalf of an organization, you represent that you have authority to bind that organization. By creating or using API credentials, you agree to these API Terms. Notwithstanding the foregoing, if you and Skydio have entered into separate written terms mutually agreed upon between the parties governing your use of the APIs, those terms will prevail to the extent they conflict with these API Terms.

1. Definitions

“AI/ML” means artificial intelligence and machine learning technologies that train, fine-tune, or generate models based on data.

“APIs” means Skydio application programming interfaces, SDKs, webhooks, developer tools, and related documentation.

“API Data” means data returned by the APIs (e.g., telemetry, logs, metadata, device health, media references), including any Customer Data.

“Application” means any software or workflow you build that calls the APIs.

“Customer Data” means data owned or controlled by a Skydio customer that is accessible via the APIs.

“Good Standing” means not in payment arrears and not in a dispute, formal or informal, with Skydio.

“Services” means Skydio’s hosted, cloud-based, device-based, or product-embedded software and services including Skydio products and related systems that may interoperate with or be accessed through the APIs.

“Skydio Terms” means the terms and policies available at https://www.skydio.com/legal.

2. License & Access

Skydio grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to call the APIs to develop, test, and operate your Application that interoperates with Services. Your use of the APIs must: (i) comply with all applicable laws and with the documentation, scopes, and rate limits; (ii) keep credentials confidential; and (iii) not scrape, bulk-export, or replicate the APIs or API Data. Skydio may monitor usage and throttle, audit, suspend, or revoke access to protect customers, systems, data, safety, or compliance.

3. Model Training

You may not use the APIs or API Data (or derivatives such as embeddings, labels, or features) to train, fine-tune, evaluate, or improve any AI/ML systems, nor permit any third party to do so. You also will not upload or expose API Data to third-party AI/ML services for such purposes. The prohibitions under this Section 3 do not apply if you are, at the time of training, a Skydio customer in Good Standing, and in which case the license under Section 2 is sublicensable to your contractors, service providers, or affiliates under an NDA consistent with the Skydio Terms.

4. Data Use & Protection

All API Data remains the property of Skydio or the originating customer. You will request only the minimum API access permissions necessary, use API Data solely to provide your Application’s functionality to the customer that authorized such access, segregate each customer’s data, and delete API Data upon request or when no longer needed. If you process personal data as a processor for a customer, you must execute a Data Processing Addendum (and, if applicable, the Partner Data Addendum) as required by Skydio or its customers.

4.1 Cross-Border Transfers

You will not transfer or process API Data outside the collection jurisdiction without prior written consent and complying with all applicable laws and safeguards (e.g., SCCs, UK IDTA, Data Privacy Framework).

5. Caching, Bulk Access, and Discovery APIs

Unless permitted in the response headers or documentation, you must not create persistent archives or indexes of API Data and caching is limited to what is strictly necessary for immediate functionality and must be promptly deleted thereafter. Discovery and/or compliance APIs may be used only for approved security and/or compliance use cases expressly authorized in writing by Skydio in advance.

6. Distribution & Marketplace

You may use the APIs for internal business use only. Commercial distribution (including but not limited to selling, licensing, or otherwise making your Application available to third parties, including “freemium” or integrations tied to a paid product) requires Skydio’s prior written approval or participation in a Skydio-approved program and may require security review or additional terms.

7. Operational Safety

You are solely responsible for mission design, pre-flight checks, geofencing, compliance with civil aviation regulations and other laws and regulations, and ensuring your Application does not disable or circumvent safety features. You acknowledge that use of the APIs in connection with aircraft operations involves inherent risks, and you assume all responsibility for the selection, configuration, and operation of your Application and any missions you initiate or influence through the APIs. This Section 7 supplements and does not limit your indemnification obligations in Section 12.

8. Security; Incidents; Audit

You will maintain industry-standard security controls (e.g., MFA for privileged access, secrets management, least-privilege access, and regular vulnerability management). Where applicable, you will comply with any security frameworks or regulatory requirements relevant to your integration with Skydio, including but not limited to CJIS, SOC 2, ISO 27001, or equivalent standards. You will notify Skydio at security@skydio.com within 24 hours of any incident affecting API Data and cooperate fully in investigation and remediation. Skydio may audit your Application and related systems to verify compliance. Material violations, or failure to cooperate or maintain required controls, may result in immediate suspension or termination of API access, as may.

9. Suspension

Skydio may suspend or revoke access if you are non-responsive, fail to cure violations, present a credible risk of harm, or if continued access would compromise data security, safety, or compliance.

10. Transparency & Policies

If your Application is used by third parties, you must: (i) maintain accurate user terms and a privacy policy describing your processing of API-sourced data; (ii) comply with applicable data-transfer laws; and (iii) report security incidents to Skydio by emailing security@skydio.com within 24 hours. In case of conflict between your user terms and/or privacy policy and these API Terms, these API Terms control.

11. Ownership & Feedback

You retain ownership of your Application and, in accord with the terms between them,  Skydio and its customers retain ownership of the APIs, Services, API Data and all related intellectual property rights. If you provide feedback, you grant Skydio a perpetual, irrevocable, sublicensable, transferable, worldwide, royalty-free license to use such feedback.

12. Indemnification

You will defend, indemnify, and hold harmless Skydio and its affiliates from any and all third-party claims, demands, suits, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your Application; (b) your processing or misuse of API Data or alleged infringement of any third-party intellectual-property, privacy, or data-protection rights; (c) any flight, mission, or operational activity initiated or influenced by your Application; or (d) your breach of these API Terms or any laws and regulations.

13. Disclaimers; Limits

THE APIs AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYDIO’S AGGREGATE LIABILITY RELATING TO THESE API TERMS WILL NOT EXCEED US$100 OR THE AMOUNT PAID FOR API ACCESS IN THE PRECEDING 12 MONTHS, WHICHEVER IS GREATER. SKYDIO WILL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

14. Export & Sanctions

You must comply with all applicable export-control and sanctions laws and not export or transfer API Data or technology in violation of such laws.

15. Changes; Term; Termination

Skydio may modify the APIs or these API Terms at its sole discretion by posting updates to its website. Any material changes will be posted with reasonable notice. Your continued use after any such modification of the APIs or these API Terms constitutes acceptance. Either party may terminate by providing written notice to the other party. Upon termination you must delete all API Data and credentials and certify deletion on request. Obligations that by their nature should survive (e.g., data ownership, confidentiality, indemnities, limits) shall survive.

16. Precedence

For API use, these API Terms control over conflicting terms in other Skydio documents, except that governing law, dispute resolution, and liability caps in an executed master agreement (if any) will apply.
